US Secondaries Fund III

Mature companies (B/C round)

Nordic Bloom now offers participation in the 3rd Secondaries fund from Knightsbridge Advisors, which for more than 40 years has sourced investment opportunities among America's most attractive venture firms.

Knightsbridge handpicks Secondaries investments from a short list of 150-250 venture-backed companies that Knightsbridge has previously invested in via one of their Primary funds. In other words, these are...

...companies that Knightsbridge has monitored and analysed for a long time and that Knightsbridge, based on its knowledge, finds it attractive to invest further in.

Investments are made both through direct purchase of shares in the company in question and by acquiring portfolios from - or shares in - previously established venture funds. Risk is mitigated to a significant extent by i) prior knowledge of the companies, ii) that the companies are at a later stage of development (secondaries), and iii) that by investing in a total of 150 companies or more, a significant diversification and thus levelling of the portfolio is ensured. The fact that the companies are at a later stage of development also means that, all other things being equal, there is lower risk associated with this than a pure start-up investment, and that there is a shorter time to exit the investments and thus liquidate the Fund than in a "Primaries" fund.

The result is therefore expected to be a shorter maturity/liquidity commitment, but also a lower total return, albeit still attractive, than in a "Primaries" fund.

Nordic Bloom, through its status as an authorised manager of alternative investments, offers parallel funds with no additional layer of costs for the same investment amount, in exclusive cooperation with Knightsbridge Advisers, an SEC registered investment advisor, participation in US Secondaries Fund III A/S.

US Primaries Fund XI

Newer companies (Bridge/A-round)

Nordic Bloom is now offering participation in the 11th Primary fund from Knightsbridge Advisors, which for more than 40 years has sourced investment opportunities among America's most attractive venture firms.

Knightsbridge enables investors to gain access to attractive companies backed by some of the best venture funds that create strong venture portfolios. This is how Knightsbridge has operated since 1983...

... within the so-called "primary" venture investments (subscribed but not previously traded investments). Within the so-called "secondary" venture investments (traded investments already subscribed), Knightsbridge has since 2013 sought to exploit inefficiencies in the venture capital investment process and pricing to build a portfolio of some of the most attractive secondary venture investments. Approximately 90% of the Fund's investments are expected to be primary investments, with the remaining approximately 10% expected to be secondary investments.

Nordic Bloom, through its status as an authorised manager of alternative investments, offers parallel funds with no additional layer of costs for the same investment amount, in exclusive collaboration with Knightsbridge Advisers, an SEC registered investment advisor, participation in US Primaries Fund XI A/S.

US Seed Fund III

Nordic Bloom now offers participation in the 3rd Seed fund from the American Rebel Fund, which in just under 10 years has established itself as one of the absolute best performing Seed funds in the US and which only invests in the selected companies from Y-Combinator's 4 annual batches.

The fund's investment policy
The Danish fund will invest 75% of its funds directly in Rebel Fund III, and the remaining 25% in Co-investments. Co-investments will be in investments in companies that are already in Rebel Fund I and II, but where the funds for later rounds of investment are not available. By investing up to 25% in companies that are more advanced in terms of maturity and performance, an overall risk reduction is theoretically achieved without a corresponding reduction in upside. Another advantage is that costs are reduced overall as up to 25% of the investments are made in companies directly, and not in one or more funds with resulting fee structures.

Rebel partners are among the most prominent YCombinator alumni, having founded multi-billion dollar technology companies that today are collectively valued at over $100 billion USD. While continuing to run their companies full-time, Rebel partners assist the fund with due diligence and selection of portfolio companies in their areas of expertise. As a small proportion of startups account for the vast majority of venture returns, Rebel leverages these leading "YC-Unicorns" founders to identify and support the companies with the greatest potential.

Theorem
Rebel Theorem is a proprietary machine learning algorithm that sorts through hundreds of YC startups to select the best ~25 % for further due diligence. The algorithm weights several factors related to the founder team and other characteristics. It was developed specifically for Rebel in collaboration with data science experts trained at MIT and Carnegie Mellon University and is based on published academic research. Backtesting shows that the YC startups that score highest on the Rebel Theorem perform significantly better than their peers.

Pperformance benchmark

YCombinator startups have achieved a 3-5 times higher rate of unicorns compared to other venture-backed companies, and Rebel Fund portfolio companies have outperformed even the YC average. According to AngelList's fund benchmarks, Rebel's returns are solidly in the top quartile of all early-stage venture funds. Rebel's portfolio companies are now collectively valued at over 12 billion USD and include several unicorns. YCombinator is the world's leading incubator for tech startups with over 100 portfolio companies, each now valued at over $1 billion, including Airbnb, Coinbase, DoorDash and Stripe. The combined enterprise value of all YC startups exceeds 600 billion USD. YC has an intake rate of less than 1 % and the Rebel Fund is designed to invest in the top 10 % of YC startups in each batch - equivalent to the top 0.1 % of all YC applicants.

As an authorised alternative investment manager, Nordic Bloom offers parallel funds with no extra layer of costs for the same investment amount, in exclusive collaboration with US Rebel Fund, participation in US Seed Fund III A/S.

Why should I invest 750,000 DKK?

DKK 750,000 is the legal minimum amount to invest in this type of fund. This is a requirement to ensure that investors are qualified and understand the level of risk.

Is there an upper limit?

No, you are free to choose to invest a higher amount if you wish. However, the total size of the fund is a natural limit and allocation is on a first-come, first-served basis.

Horizon of 6-8 years

When should I make deposits?

Payments are made on an ongoing basis as the fund makes its investments - typically spread over 3-4 years. For example, a total investment of DKK 1 million can be distributed in instalments of DKK 250,000-350,000 annually, depending on the structure of the fund.

When can I expect payments?

Payouts typically begin 1-2 years after the investment period has ended. The timing and amount depend on the fund's performance, market developments and other conditions. There is no guarantee of dividends and the investment should be viewed as long-term.
